Sample Pack Terms

These License Terms (“Terms”) are a legal agreement between you (“Licensee,” “you”) and Miguel Dias Coelho aka saint mike (“Licensor,” “we,” “us”). By purchasing, downloading, accessing, or using any audio files from a sample pack (the “Pack”), you agree to these Terms.

Payment Requirement / License Activation.
The rights granted under these Terms only apply after full payment for the Pack has been made. Any downloading, accessing, or use of the Pack Content without purchasing a valid license (including use of leaked, pirated, shared, or otherwise unauthorized copies) is strictly prohibited and constitutes copyright infringement. No license is granted unless and until payment has been successfully received.

Scope (Melodic Loops Only for Publishing/Credits). These Terms apply to all content in the Pack. However, any publishing/writer split obligations (Section 6) and credit requirements (Section 9) apply only when you use Melodic Samples (as defined below). Non-Melodic Sounds, like drum hits and one-shots may be used with no publishing claim and no credit requirement, subject to all other restrictions in these Terms (including the prohibition on redistributing Pack Content).

1) Definitions

“Melodic Samples” means the melodic audio content included in the Pack, such as melodic loops and melodic stems (e.g., guitar/bass/piano/synth melodies, musical phrases), and any MIDI files that represent those melodic parts (if included).

“Non-Melodic Sounds” means non-melodic audio content included in the Pack, such as drum one-shots, percussion, FX, impacts, risers, sweeps, noise textures, and similar sounds.

“Pack Content” means all content included in the Pack, including both Melodic Samples and Non-Melodic Sounds.

“End Product” means a new music production that combines Pack Content with other elements (e.g., drums, vocals, additional instruments, arrangement, processing) and is released as a song/beat/track.

“Third Party” means any person or entity other than you and Licensor, including artists, labels, clients, collaborators, and end-buyers of your beats.

“Qualifying Streams” means the total number of on-demand streams/plays of the End Product across major DSPs (e.g., Spotify, Apple Music, YouTube Music, Deezer, Tidal, Amazon Music, etc) as shown in distributor/DSP reporting. Short-form social views (e.g., TikTok/IG reels) are not counted unless your distributor reports them as audio streams.

“Big Placement” means an End Product that reaches 1,000,000+ Qualifying Streams.

2) Ownership

All Pack Content is and remains the sole property of saint mike. You are not purchasing ownership of the Pack Content—only a license to use it under these Terms.

3) License Grant (What you can do)

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, worldwide license to:

Use the Pack Content to create End Products (beats/songs/productions).

Distribute, sell, stream, perform, and monetize your End Products on any platform.

Use the Pack Content in client work and productions you create for artists, provided the Pack Content is embedded in an End Product.

No master/sales royalties are owed to saint mike for End Products under this license.

4) Restrictions (What you cannot do)

You may not, and may not allow others to:

Re-sell, redistribute, share, sublicense, upload, or “give away” the Pack Content (in whole or in part) as standalone files.

Use the Pack Content to create or sell sample packs, loop kits, one-shot kits, construction kits, preset expansions that include audio, sound libraries, or any competing/derivative sample library product.

Upload the Pack Content (or near-identical versions) to platforms/services that allow extraction or re-download as samples (including sample library sites), or to any “content pool” intended for reuse by others.

Claim ownership of the Pack Content as your own (including registering the Pack Content alone with any copyright system).

Use the Pack Content in isolation as a “new” sample product (e.g., minimal edits like EQ only, trimming, normalization, or format conversion does not make it yours to resell).

Use the Pack Content, or any derivative of the Pack Content, to train, fine-tune, feed, or develop any artificial intelligence, machine-learning, or algorithmic model, whether for audio generation, recognition, enhancement, or any similar purpose. This prohibition includes uploading the Pack Content (in whole or in part) to any dataset, training pool, or system intended for model development.

5) Non-Exclusivity / No “Exclusive Sample” Claims

Licensee acknowledges that the Pack Content is licensed on a non-exclusive basis and may be licensed to unlimited third parties.

You may not market, represent, or imply that any part of the Pack Content is “exclusive,” “unique,” “never used,” “one of one,” or otherwise exclusively controlled by you.

If you sell, license, or assign any rights in an End Product to a Third Party (including “exclusive” rights), such exclusivity may only apply to the End Product as a whole and does not grant any exclusivity over the Pack Content itself.

6) Publishing (Melodic Samples Only — Big Placements: 1,000,000+ Streams)

Publishing is only discussed if the End Product becomes a Big Placement (hits 1,000,000+ Qualifying Streams). This Section 6 applies only to End Products that use Melodic Samples.

6.1 No publishing claim below the threshold

If an End Product does not reach the Big Placement threshold, Licensor does not require publishing/writer splits for that End Product under these Terms (credit may still be required for Melodic Samples — see Section 9).

6.2 Trigger + contact requirement

If an End Product reaches the Big Placement threshold (or you become aware it’s about to), you agree to contact us within 10 business days so we can confirm splits and paperwork (split sheet / PRO info).

6.3 Default split template (unless agreed otherwise in writing)

For Big Placements where a Melodic Sample (e.g., guitar/bass melody loop) is used in the End Product, the parties agree to use the following default publishing/writer split unless everyone agrees otherwise in writing:

25% – Licensor (Miguel Dias Coelho (saint mike))

50% – Artist/topliner(s) (collectively)

25% – Producer(s) other than Licensor (collectively — this can include you and any co-producer(s))

If there is no artist/topliner (instrumental-only release), then the 50% artist share is instead allocated to the composer(s)/producer(s) as agreed in writing.

6.4 Good-faith paperwork

You agree to cooperate in good faith to complete any reasonable documentation needed to reflect the above splits for Big Placements (split sheets, PRO registrations, distributor metadata updates, etc.).

7) Stems / Trackouts for End Products (Allowed for Collaboration)

Notwithstanding the Restrictions above, you may deliver stems/trackouts of an End Product (including stems that contain embedded Pack Content) to Third Parties solely for the purpose of writing, recording, mixing, mastering, distributing, and exploiting that End Product (e.g., to an artist, label, publisher, manager, mix/master engineer, or sync partner).

You must not distribute the Pack Content as a standalone sample library, and you must ensure (to the extent you reasonably can) that collaborators do not extract or reuse the Pack Content outside the End Product. You remain responsible for compliance with these Terms.

8) Content ID / Fingerprinting

To avoid false claims against other creators:

You may register and monetize your End Products normally.

You may not register, upload, or deliver the raw Pack Content (or near-identical versions) to Content ID systems (YouTube Content ID, Facebook/Instagram Rights Manager, etc.) as standalone reference material.

If you need Content ID handling for a release using Pack Content, contact us first.

9) Credits (Required for Melodic Samples Only)

This Section 9 applies only when Melodic Samples are used in the End Product. You agree to credit saint mike as the creator/source of the Melodic Samples used in your End Product wherever credits are customarily displayed, including (where applicable):

Streaming services / digital distributors (song credits / metadata): where metadata allows, credit as “Additional Production: saint mike” and/or an equivalent credit (as applicable to the project).

YouTube / SoundCloud / BeatStars / Audiomack / etc. descriptions: include “Melodic samples by saint mike” and @prod.saintmike (or a link if tagging isn’t possible).

Social posts announcing the release (when credits/tags are included): tag @prod.saintmike.

Minimum credit format:

“Melodic samples by saint mike”
or “Guitar/Bass melodic samples by saint mike”
or “yourproducername + saint mike”

Tag: @prod.saintmike

If you are unable to edit credits after distribution (for example, the release is already delivered), you agree to make reasonable good-faith efforts to correct credits going forward.

Failure to provide credit after written notice may be treated as a breach of these Terms.

10) No Warranty / Use at Your Risk

The Pack Content is provided “as is.” We make no warranties that the Pack will fit a particular purpose or guarantee any commercial outcome.

11) Your Responsibility / Indemnity

You are responsible for how you use the Pack Content in your End Products, including any additional elements you add (vocals, other samples, third-party beats, etc.).

You agree to indemnify and hold saint mike harmless from claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from:

your misuse of the Pack Content,

your breach of these Terms, and/or

your representations or agreements with any Third Party (including the sale of “exclusive” rights) that conflict with these Terms.

12) Limitation of Liability

To the maximum extent allowed by law, saint mike will not be liable for any indirect, incidental, special, consequential, or lost-profit damages (including lost revenue, lost opportunities, or platform/Content ID issues) arising from your use of the Pack.

If saint mike is found liable for anything related to the Pack or these Terms, our total liability will be limited to the amount you paid for the Pack.

Nothing in these Terms limits any rights or liabilities that cannot be limited under applicable law.

13) Termination

If you breach these Terms, your license terminates immediately. Upon termination, you must stop using the Pack Content and remove/replace it in any unreleased projects.

Previously released End Products may require resolution depending on the breach; we reserve all rights.

14) Governing Law / Venue

These Terms are governed by the laws of Portugal. If something ever turns into a dispute, the parties agree to handle it in the courts located in Portugal.

15) Miscellaneous

This license is for one user (one “seat”). If you’re a team/studio, each user should have their own license unless we agree otherwise in writing.

These Terms are the full agreement regarding the Pack unless we provide a written exception.

If any part of these Terms is deemed unenforceable, the rest remains in effect.
